Compass Diversified Holdings closes acquisition of Foam Fabricators

Compass Diversified Holdings (NYSE: CODI) (“CODI” or the “Company”), an owner of leading middle market businesses, announced the closing of the acquisition of Foam Fabricators, Inc. (“Foam Fabricators”), pursuant to an agreement entered into on Jan. 18, 2018.

The acquisition was completed for a purchase price of $247.5 million (excluding working capital and other customary adjustments) and funded through a draw on the Company’s revolving credit facility. Acquisition related costs were $1.6 million.

Foam Fabricators is a leading designer and manufacturer of custom molded protective foam solutions and OEM components made from expanded polymers such as expanded polystyrene (EPS) and expanded polypropylene (EPP).

Founded in 1957, the company operates 13 state-of-the-art molding and fabricating facilities across North America. Additional information on the acquisition will be available on the Company’s current report on Form 8-K that will be filed with the Securities and Exchange Commission.
